Results of AGM 27 June 2008

OMZ (Uralmash-Izhora Group) – results of Annual General Meeting

OMZ (Uralmash-Izhora Group) held its Annual General Meeting (AGM) in Moscow on 27 June, 2008. More than 93% of shareholders participated in the meeting. All resolutions put to shareholders’ vote were duly passed.

Shareholders approved the Company’s 2007 annual report and accounts prepared to Russian Accounting Standards. A decision was taken not to pay dividends on common shares, while a preferred stock dividend payout for 2007 was approved in the amount of 12% of par value.

The following members were elected to the OMZ’s Board of Directors:

1. Dmitry Bakatin – Consultant, Moscow Representative Office, “Sputnik Investment Ltd.”

2. Victor Danilenko - CEO, OAO OMZ (Uralmash-Izhora Group)

3. Sergey Grischenko - Executive Director, Corporate Finance Department, OAO “Gazprombank”

4. Sergey Ivanov – First Vice President, member of the Management Board, OAO “Gazprombank”

5. Farid Kantzerov - Deputy Chairman of the Management Board, OAO “Gazprombank”

6. Alexey Matveev - Deputy Chairman of the Management Board, OAO “Gazprombank”

7. Seppo Remes - Senior Advisor and member of the Board, ZAO “FIM” Investment Bank, Russia

8. Sergey Skaterschikov – Vice-president for strategy and development, OAO MTS

9. Vladimir Yurkov - General Director, ZAO “Forpost-Management”

Shareholders approved ZAO LHB Vneshaudit as the Company’s statutory accounts auditor and PriceWaterhouseCoopers as the Company’s IFRS accounts auditor for 2008.

Shareholders approved the compensation of the Board members for their service in the 2007-2008 period as well as the Provision on the Compensation of the members of the Board of Directors for the 2008-2009 period. In addition, they elected a three-member Revision Commission.
